Terms of Service

Please read these Terms carefully. They contain important limitations of our liability, disclaimers of warranties, an agreement to resolve disputes through binding individual arbitration, and a waiver of class actions and jury trials (Sections 15–18). TitleAI is a software tool that assists you with your work; it is not a law firm, tax advisor, financial institution, payment processor, or government agency, and it does not replace your professional judgment or your legal responsibilities.
1. Acceptance of Terms and Eligibility
These Terms of Service ("Terms") form a binding agreement between you and TitleAI ("TitleAI," "we," "us," or "our") governing your access to and use of our website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is intended solely for business use by title agencies, dealers, and their authorized personnel. By using the Service, you represent that you are at least 18 years old, that you are using it for legitimate business purposes, and that you have the authority to bind the business or agency on whose behalf you act. These Terms apply to all users under your account, including your employees and team members.
2. Description of the Service
TitleAI provides software that assists with vehicle title-transfer workflows for Texas title agencies, including: fee estimates, document upload with automated data extraction (OCR), automated pre-filling of government forms (including Form 130-U, VTR-61, VTR-270, VTR-271, VTR-66, and TS-12), an AI compliance checklist and assistant, electronic signature capture, invoicing and payment record-keeping, temporary permits, packages, task tracking, a client database, and analytics.
The Service is an assistive tool only. Its purpose is to help you complete forms and organize your work more efficiently — not to guarantee outcomes, accuracy, compliance, or acceptance by any third party. We may modify, suspend, or discontinue any part of the Service at any time.
No government affiliation. TitleAI is an independent, privately owned product. We are not affiliated with, endorsed by, or acting on behalf of the Texas Department of Motor Vehicles (TxDMV), any county tax assessor-collector or tax office (including the Harris County Tax Office), or any other government agency. Forms, fees, and requirements are set by those authorities and may change without notice to us.
3. No Legal, Tax, or Financial Advice
TitleAI does not provide legal, tax, accounting, financial, or professional advice of any kind. Nothing generated by the Service — including estimates, extracted data, pre-filled forms, checklist results, analytics, or AI responses — constitutes advice or a professional opinion, and none of it should be relied upon as such. You are responsible for obtaining independent professional advice where appropriate and for ensuring that every transaction complies with applicable law.
4. Estimates Are Approximations Only
Fee estimates, tax figures, Standard Presumptive Values (SPV), penalties, and any other calculated amounts produced by the Service are approximations for planning purposes only. They are generated from data you enter and from third-party and government data sources that may be incomplete, outdated, or inaccurate. They are not quotes, guarantees, or binding statements of the amounts that will ultimately be assessed or collected by any tax office, government agency, or other party. Actual amounts may differ. You are solely responsible for verifying all figures before relying on them, sharing them with a customer, or collecting any amount.
5. Automated Form-Filling, OCR, and AI — Your Duty to Verify
A core function of the Service is to read uploaded documents and automatically pre-fill government forms. This automation, along with our OCR, AI compliance checklist, and AI assistant, is powered by machine-learning systems that may produce errors, omissions, misreadings, or fabricated ("hallucinated") information.
You are the responsible party of record for every document, form, and filing. You agree that before submitting, printing, signing, relying on, or delivering any form or document, you will independently review, correct, and verify every field and every value against the original source documents. You — not TitleAI — are responsible for the accuracy, completeness, and legal sufficiency of all forms and filings, for their acceptance or rejection by any authority, and for any consequences of errors, whether or not those errors originated from automated pre-filling.
6. No Payment Processing; Not a Money Transmitter
The invoicing and payment features within the Service (for example, recording that an invoice was paid by cash, check, card, ACH, or wire) are record-keeping and bookkeeping tools only. The Service does not collect, process, hold, transmit, escrow, or disburse any funds between you and your customers, and does not charge your customers' payment cards or bank accounts. TitleAI is not a bank, payment processor, money transmitter, or escrow agent.
You are solely responsible for actually collecting payment from your customers, for the accuracy of every record you enter, and for your own tax, accounting, and trust-account obligations. Payments you make to TitleAI for your own subscription are processed by our third-party payment processor, Stripe, under Stripe's terms and privacy policy; we do not receive or store your full card number.
7. Accounts, Team Members, and Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account and under the accounts of team members you invite
- The access rights and roles you assign to team members, and their actions
- Ensuring that all information you provide is accurate and current
- Notifying us immediately of any unauthorized use of your account
8. Your Data and Third-Party (Customer) Data
The Service allows you to input and upload data about third parties — including your customers, vehicle buyers and sellers, and their government-issued identification documents, ID numbers, addresses, signatures, and vehicle titles. You represent and warrant that you have all necessary rights, authority, lawful basis, and consents to collect, upload, and process such data through the Service, and that you will provide any privacy notices and honor any rights required by applicable law with respect to those individuals.
As between you and TitleAI, you are the controller of the customer and third-party data you input, and we process it on your behalf solely to provide the Service. You are responsible for the accuracy and legality of that data, and you agree to indemnify us for claims arising from it, as described in Section 16.
9. Data Ownership
You retain all ownership rights to the data you input into the Service. We do not claim ownership of your content. You grant us a limited, non-exclusive license to host, process, and transmit your data (including to the subprocessors described in our Privacy Policy) solely to provide, secure, and maintain the Service. We may use aggregated and de-identified data that does not identify you or any individual to operate and improve the Service.
10. Subscriptions, Fees, and Billing
Paid plans are billed in advance according to the plan you select, plus any usage-based fees (for example, per-transfer or per-permit charges above your plan's included volume). You authorize us and our payment processor to charge your payment method for all applicable fees and taxes. Except where required by law, all fees are non-refundable, including for partial billing periods and unused capacity. We may change pricing or plan features with reasonable prior notice. If a payment fails or is past due, we may suspend or terminate your access. You may cancel at any time, effective at the end of your current billing period; cancellation does not entitle you to a refund of amounts already paid.
11. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or unauthorized purpose
- Upload or process data you do not have the right to use
- Upload malicious code or attempt to gain unauthorized access to our systems or data
- Interfere with, disrupt, overload, or reverse engineer the Service or its infrastructure
- Resell, sublicense, or redistribute the Service without our written authorization
- Use the Service to violate the privacy or rights of any individual
12. Intellectual Property
The Service, including all software, designs, text, and trademarks, is owned by TitleAI and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. All rights not expressly granted are reserved.
13. Third-Party Services and Data Sources
The Service relies on third-party providers and public data sources, including cloud and AI providers (such as Google and Stripe) and government and industry data sources (such as vehicle databases and inspection records). We do not control and are not responsible for the availability, accuracy, or acts of these third parties. Your use of any third-party service may be subject to that provider's own terms, and information returned from third-party or government sources is provided "as is" without any warranty by us.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ESTIMATE, EXTRACTED DATA, FORM, CHECKLIST RESULT, OR AI OUTPUT WILL BE ACCURATE, COMPLETE, COMPLIANT, OR ACCEPTED BY ANY AUTHORITY. YOU USE THE SERVICE AT YOUR OWN RISK.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TITLEAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, OR FOR ANY FINES, PENALTIES, REJECTED FILINGS, OR AMOUNTS OWED TO ANY CUSTOMER OR AUTHORITY, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
16. Indemnification
You agree to defend, indemnify, and hold harmless TitleAI and its officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) any form, filing, estimate, invoice, or record you create, submit, or rely on; (c) the data you input or upload, including customer and third-party personal information and government-issued identification; (d) your violation of these Terms or any applicable law; or (e) your violation of the rights of any third party.
17. Term and Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or use the Service in a manner that poses risk to us or others. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days following termination, after which it may be deleted. Sections that by their nature should survive termination (including Sections 3–6, 8, 9, and 14–19) will survive.
18. Dispute Resolution — Binding Arbitration and Class Action Waiver
Please read this section carefully; it affects your legal rights.
Binding arbitration. Except for claims that qualify for small-claims court or requests for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Texas, and judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury waiver. You and TitleAI agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. YOU AND TITLEAI WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
19. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Subject to Section 18, the state and federal courts located in Texas will have exclusive jurisdiction over any dispute not subject to arbitration.
20. Changes to These Terms
We may revise these Terms from time to time by posting an updated version on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
